Terms and Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between Design Creation, acting through its white-label division Jeweller’s Gallery (“Company”, “we”, “our”, or “us”), and any person or entity accessing or using our portal, website, or services (“Client”, “you”, or “your”).

By registering, accessing, or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms.

1. Definitions

• “Services” means design library access, product customization, white-label manufacturing, and related services offered by the Company.
• “Portal” refers to the digital platform or website through which Clients access the Services.
• “Intellectual Property (IP)” includes all designs, CAD files, catalogues, trademarks, trade secrets, methods, and proprietary content owned by the Company.
• “Order” means a confirmed purchase request submitted by the Client.

2. Eligibility and Account

• The Client represents that they are legally competent and duly authorized to enter into this Agreement on behalf of their organization.
• The Client shall provide accurate, complete, and up-to-date information during registration and promptly update any changes.
• The Client is responsible for maintaining the confidentiality of login credentials and all activities conducted under their account.

3. Scope of Services

• The Company provides access to its design library, customization options, and manufacturing capabilities to Clients for white-label use under their own brand name.
• The Services are strictly B2B in nature and not intended for direct consumer retail.
• The Company reserves the right to modify, suspend, or discontinue any part of the Services at its discretion, with reasonable prior notice.

4. Orders, Pricing, and Payment

• All Orders must be placed through the Portal or authorized communication channels. Prices are exclusive of applicable taxes, duties, shipping, and handling charges, unless stated otherwise.
• Payments must be made in accordance with the agreed commercial terms. Delays in payment may result in suspension of Services or interest charges.
• The Company reserves the right to reject or modify any Order at its discretion.

5. Intellectual Property Rights

• All designs, CAD files, catalogues, product concepts, trade secrets, methods, and know-how remain the exclusive property of the Company.
• Clients are granted a limited, non-exclusive, non-transferable license to use the manufactured products solely under their brand name, subject to these Terms.
• Clients shall not reproduce, resell, sublicense, or commercially exploit the Company’s IP outside the agreed white-label arrangement.
• Unauthorized use constitutes a material breach and entitles the Company to seek legal and equitable remedies.

6. Client Responsibilities

Clients shall:

• Use the Services solely for legitimate business purposes under their brand.
• Ensure all data or content uploaded to the Portal is accurate, lawful, and authorized. Maintain confidentiality of all proprietary information accessed through the Portal.
• Comply with all applicable laws, IP regulations, and data protection requirements. Avoid engaging in fraudulent, abusive, or unauthorized activities within the Portal.

7. Confidentiality

• Only authorized employees or agents of your organization may access the Services.
• You must immediately inform the Company of any unauthorized activity.

8. Warranties and Disclaimers

• The Company warrants that all manufactured products shall meet agreed specifications. Except as expressly stated, the Services are provided “as is” without warranties of any kind—express or implied—including merchantability or fitness for a particular purpose.
• The Company does not warrant uninterrupted or error-free operation of the Portal.

9. Limitation of Liability

• To the fullest extent permitted by law, the Company shall not be liable for indirect, incidental, consequential, or punitive damages arising from the use of the Services.
• The Company’s total liability for any claim shall not exceed the total amount paid by the Client for the specific Order giving rise to the claim.

10. Indemnification

The Client agrees to indemnify and hold harmless the Company, its affiliates, directors, and employees from any claims, damages, or expenses arising from:

• Violation of third-party rights caused by the Client’s actions.

11. Termination

The Company may suspend or terminate a Client’s access to the Services with immediate effect if:

• The Client breaches these Terms;
• Payments remain overdue; or
• Misuse or unauthorized disclosure of proprietary information occurs.

Upon termination, all rights granted under these Terms shall immediately cease, and the Client must stop using all confidential or proprietary materials belonging to the Company.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall fall under the exclusive jurisdiction of the courts of Surat, Gujarat.

13. Amendments

The Company reserves the right to modify or update these Terms at any time. Any continued use of the Services after such updates shall constitute the Client’s acceptance of the revised Terms.
